If you have employees working for you in one of the states where we offer our tax service you can authorize Wave Financial USA Inc. (“Wave”) to pay federal and State payroll taxes on your behalf.

You authorize Wave to instruct the IRS or state government to withdraw funds, from the bank account you have entered in Wave’s payroll system, for the purpose of paying federal and state payroll tax liabilities. The amounts of these federal and state payroll tax liabilities are found in Agent’s payroll system Wage and Tax report.

You authorize Wave to sign and file the federal and state payroll tax returns which relate to the aforementioned federal and state payroll tax liabilities. This specifically excludes payroll tax returns for city, county and school district payroll taxes.

You understand and acknowledge that the amounts of city, county and school district tax liabilities are found in Wave’s payroll system Wage and Tax report; and that you are responsible for making payments and filing documentation related to them. You understand and acknowledge that Wave will NOT make payments related to payroll tax liabilities for city, county and school district payroll taxes; NOR will Wave file documentation related to those taxes.

You represent and warrant (under penalty of perjury) that the data entered by you in Wave’s payroll system is true, correct and complete and that You are consenting to the filing of the returns by Wave. You understand that by granting Wave authorization to make federal and state tax filings and payments, Wave will have the ability to see information about your business including, but not limited to:

  • Payroll Tax Deposit Frequency
  • Payroll Tax Rate
  • Payroll Tax Filing Requirements

You understand and authorize Wave to update information in your Tax Profile based on information provided by tax agencies for the purpose of ensuring filings and payments are accurate. For example, Wave will regularly check your state unemployment tax rate and may update your Tax Profile to reflect the new rate. You understand that, as per the IRS, this authorization does not relieve the taxpayer of the responsibility (or from liability for failing) to ensure that all federal tax returns are filed timely and that all federal tax deposits are made timely. You can read more about the relationship between your business and Wave as your Reporting Agent by visiting the IRS website.

You acknowledge that Wave has recommended that you enroll in the Electronic Federal Tax Payment System (EFTPS) to view deposits and payments made on your behalf. You may enroll in the EFTPS online at www.eftps.gov, or call (800) 555-4477 for an enrollment form.

Arizona: Please log into your Arizona Department of Economic Security account and Arizona Department of Revenue account regularly to ensure that payments and filings are completed on time, and correctly.

California: Please log into your California Employment Development Department account regularly to ensure that payments and filings are completed on time, and correctly.

Florida: Please log into your Florida Reemployment account regularly to ensure that payments and filings are completed on time, and correctly.

Georgia: Please log into your Georgia Department of Labor account and Georgia Department of Revenue account regularly to ensure that payments and filings are completed on time, and correctly.

Illinois: Please log into your Illinois MyTax account regularly to ensure that payments and filings are completed on time, and correctly.

Indiana: Please log into your Indiana INTax account and Indiana Uplink account regularly to ensure that payments and filings are completed on time, and correctly.

Minnesota: Please log into your Minnesota Department of Revenue account and Minnesota Unemployment Insurance account regularly to ensure that payments and filings are completed on time, and correctly.

New York: Please log into your New York Dept. of Taxation and Finance account regularly to ensure that payments and filings are completed on time, and correctly.

North Carolina: Please log into your North Carolina Department of Revenue account and your North Carolina Division of Employment Security account regularly to ensure that payments and filings are completed on time, and correctly.

Tennessee: Please log into your Tennessee Department of Labor and Workforce Development Account regularly to ensure that payments and filings are completed on time, and correctly.

Texas: Please log into your Texas Workforce Commission account regularly to ensure that payments and filings are completed on time, and correctly.

Virginia: Please log into your Virginia Tax and/or Virginia Employment Commission account regularly to ensure that payments and filings are completed on time, and correctly.

Washington: Please log into your Washington Secure Access account regularly to ensure that payments and filings for Washington Employment Security Department and Washington Labor & Industries are completed on time, and correctly.

Wisconsin: Please log into your Wisconsin Department of Revenue and Wisconsin Department of Workforce Development Unemployment Insurance account regularly to ensure that payments and filings are completed on time, and correctly.

You acknowledge that You have read and agree to Wave Payroll’s Terms Of Service, specifically the statements:

You expressly authorize Wave and its third party payroll service providers to process such deposits and debits as required from time to time and you agree to hold harmless and indemnify the Wave Parties against any damages, losses or claims arising in respect of payroll processes and access to employee accounts (excepting fraud, willful neglect, or manifest error by Wave, its affiliates or third party providers.)

Failure to maintain sufficient funds in your bank account to pay both federal and state payroll tax liabilities may result in a non-sufficient funds payment attempt (NSF) and a failure to settle the required payment. A fee of $25 dollars will be charged for each NSF error. In the event of an NSF, Wave will issue up to two additional debit instructions in an attempt to settle each payment, to a maximum of three attempts for each liability. The occurrence of three or more NSFs on any account may, at Wave’s sole discretion, be considered grounds for immediate termination of this agreement and your disqualification from the tax services. In the event of your disqualification from the tax services, it is the sole responsibility of you, the employer, to settle any outstanding payments or balances and Wave explicitly disclaims any and all liability for any associated penalties.

After the initial notice to sign authorization forms, quarterly returns, or any other form requiring your signature, two email reminders will be sent to you. Failure to sign by this point results in the filing becoming the ERs responsibility and Wave cannot be held liable for any associated penalties.

All of the foregoing authorizations will remain in force until Wave or you terminate the tax service. You understand and acknowledge that there is a minimum commitment period of three months to enroll in the tax service. You may terminate the service for convenience, without cause, subject to the minimum commitment period, by contacting Wave’s support team. Wave may terminate your use of the service for any reason, at its sole discretion. In either case, any such terminations will occur on the last day of the month in which the termination was initiated. If you request the termination of the tax services, you understand that all of Wave’s obligations including, but not limited to, making tax deposits and the filing of returns, cease on the day of termination.
